Sample Web Design Contract for a Small Project

Agreement for Production of Web Site

By: [Web Design Company]
For: [New Client]

Following is the scope of work for construction of [www.new-website.com]:

  1. The site’s main purpose will be (for this example) to serve as an online brochure, providing basic information for existing and potential new clients. Site’s “look and feel” will be simple, conservative, and professional, with an emphasis upon very easy usability.
  2. Domain name [www.new-website.com] will be registered, and hosting arranged with [Webhost.com] by [Web Design Company].
  3. Six main pages are planned as follows:
    • A Home Page with brief information about what your company does
    • A page dedicated to “Products and Services”
    • A page “About Us” with company information and photos.
    • A page “Locate Us” with all of your contact information and a map with driving directions.
    • A page “Contact Us” with a form that visitors can fill out to ask you to contact them.
    • A page “Terms of Use” for your site with all the legal language.
  4. All content, including photographs for the site would be supplied by the Client.
  5. All pages would include clear navigation so it is easy to move around your site. And page design would be approved by you. Graphics supplied by [Web Design Company] would include navigation and perhaps page headers or any other design elements desired by the client, and are included in the proposed cost. Additional photos for the site that are for design use and are not specifically photos of your staff or facility can be provided by [Web Design Company].
  6. [Web Design Company] will place a very small link at the bottom of the page that says “Site design by [Web Design Company]” and we will also place a link to your site in our online web design portfolio, if you have no objections.
  7. [Web Design Company] will provide at least two different proposed designs for the site, including logo, graphics, navigation, colors and text, which will be used to determine a final design for the pages to be approved by Client. Once the design of the pages is agreed upon, construction of the pages will commence.
  8. Keywords and other code designed to make the site more easily findable by the search engines will be included at no additional cost. [Web Design Company] will submit your URL, at no cost, to Google and Yahoo. No assurances can be made concerning “placement” by search engines. More information about site optimization and site submission to the search engines is available from [Web Design Company]upon request.
  9. Site will be of high quality and free of defects; any errors caused directly by [Web Design Company] will be corrected by [Web Design Company] at our expense. Pages will be designed to display well in the major browsers, screen sizes, and platforms.
  10. A backup of all site files will be maintained by [Web Design Company], and can be provided on CD to the client if desired.
  11. All meetings and discussions subsequent to the initial free consultation, whether in person or by telephone, are charged at the regular hourly rate.
  12. Upon payment for completed site, the web site and its content shall be the property of the Client.
  13. [Web Design Company] will maintain the confidentiality of client’s source materials, technical and marketing plans and all other sensitive information.
  14. The proposed cost of the construction of this site is $xxxxxx and includes all of the above.
  15. Payment shall be made in two installments:
    • 1/2 of proposed cost upon signing of this Agreement
    • remainder of actual total upon delivery of the completed site

In the event that this agreement is terminated, client’s financial obligation to [Web Design Company] will be for payments already made under this agreement and for a prorated portion of payments accrued but not yet paid. In this event, all plans and files completed or in progress shall be turned over to the client and become his property.

[Web Design Company] will be available to continue to handle ongoing maintenance, updates, and additions to the site at the regular hourly rate.

Our signatures below indicate that we agree that the above represents fairly our respective responsibilities concerning this project.
